BY ACCESSING OR USING OUR WEBSITE, MOBILE APPLICATIONS OR SERVICES THAT HAVE LINKED TO THESE TERMS, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT CONTINUE TO USE OUR WEBSITE, MOBILE APPLICATIONS OR SERVICES.

Age Restrictions
Chronicle is intended for users who are at least 13 years of age. If you are under 13 years of age, you are not permitted to use our services. If you are between 13 and 18 years of age (or the age of majority in your jurisdiction), you may only use Chronicle with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms of Service.
By using Chronicle, you represent and warrant that you meet the age requirements set forth above. If we learn that we have collected personal information from a child under 13 without parental consent, we will take steps to delete such information as quickly as possible.
License
Lightware Consulting, Lda and/or its licensors own the intellectual property rights for the Chronicle application software, user interface, designs, logos, and other content we provide (excluding your personal journal memories, voice recordings, and transcripts, which remain yours). You may use the Chronicle application for your personal journaling purposes subject to the restrictions set in these terms of service.
You must not:
- Copy, modify, or distribute the Chronicle application software or source code
- Use Chronicle's branding, logos, or trademarks without written permission
- Create derivative works based on the Chronicle application
- Attempt to resell, sublicense, or commercially exploit the Chronicle service
- Access or attempt to access our APIs, services, or backend systems directly without using the official Chronicle application
- Reverse engineer, decompile, or attempt to extract our API endpoints or authentication mechanisms
- Use automated tools, bots, or scripts to interact with our services outside of the official application
- Sell your device without first removing Chronicle
This Agreement shall begin on the date hereof.
Export Controls
You may not use or otherwise export or re-export the Chronicle application except as authorized by United States law and the laws of the jurisdiction in which the Chronicle application was obtained. In particular, but without limitation, the Chronicle application may not be exported or re-exported (a) into any U.S.-embargoed countries or (b) to anyone on the U.S. Treasury Department's Specially Designated Nationals List or the U.S. Department of Commerce Denied Persons List or Entity List. By using the Chronicle application, you represent and warrant that you are not located in any such country or on any such list. You also agree that you will not use these products for any purposes prohibited by United States law, including, without limitation, the development, design, manufacture, or production of nuclear, missile, or chemical or biological weapons.
App Store Compliance
Chronicle is distributed through the Apple App Store and Google Play Store. Your use of Chronicle is also subject to the applicable app store's terms of service and policies. In case of conflicts between these Terms and the app store terms, the app store terms shall govern regarding app distribution and payment processing.
Account Terms & User Responsibilities
Account Creation: To use Chronicle, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Account Security: You must immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to protect your account information.
Prohibited Uses: You agree not to use Chronicle for any unlawful purpose or in any way that could damage, disable, overburden, or impair our services. Prohibited activities include but are not limited to:
- Recording or uploading illegal, harmful, threatening, abusive, or offensive content
- Violating any applicable laws or regulations
- Infringing on the intellectual property rights of others
- Attempting to gain unauthorized access to our systems or other users' accounts
- Using the service to spam, harass, or harm others
- Impersonating another person or entity
Account Suspension: We reserve the right to suspend or terminate your account at any time for violation of these Terms of Service, suspected fraudulent activity, or any other reason we deem appropriate, with or without notice.
Termination
Termination by You: You may terminate your account and subscription at any time by cancelling your subscription through your Google Play or Apple App Store account settings, or by contacting us at support@chronicle.chat. Upon termination, your access to the service will cease at the end of your current billing period.
Termination by Us: We reserve the right to suspend or terminate your account and access to the service immediately, without prior notice, if you violate these Terms of Service, engage in fraudulent activity, or for any other reason we deem necessary to protect the service or other users.
Effect of Termination: Upon termination of your account for any reason:
- Your right to access and use the Chronicle service will immediately cease
- All data stored in your account, including voice recordings and transcripts, will be scheduled for deletion according to our Data Retention policy
- You will no longer be charged for future billing periods (though charges for the current period remain due)
- These Terms of Service will remain in effect for any outstanding obligations or liabilities
Data Export: You can download your data at any time by using the "Export Data" functionality under app Settings.
Survival: The following sections shall survive termination of these Terms: Data Processing & AI Services, Privacy Policy, Governing Law & Jurisdiction, Disclaimer, and any outstanding payment obligations.
Data Retention
Storage Duration: We retain your voice recordings, transcripts, and associated journal memories for as long as your account remains active. There is no automatic deletion of data while your account is in good standing and your subscription is active.
Account Deletion: When you delete your account or request account deletion, we will begin the process of permanently deleting your personal data, including all voice recordings and transcripts, within 30 days. However, some data may be retained for up to 90 days to ensure complete removal from our systems and backups.
Individual Memory Deletion: You can delete individual journal memories, including their associated voice recordings and transcripts, at any time through the Chronicle application. Deleted memories are permanently removed from our systems within 7 days.
Legal Retention Requirements: We may retain certain data for longer periods when required by law, regulation, or legal process, or when necessary to:
- Comply with legal obligations or respond to lawful requests
- Resolve disputes or enforce our agreements
- Prevent fraud, abuse, or security incidents
- Protect the rights, property, or safety of Chronicle, our users, or the public
Backup Data: Deleted data may persist in our backup systems for up to 90 days before being permanently purged. During this period, backup data is not accessible through the application and is only retained for disaster recovery purposes.
Third-Party Retention: Data processed by our AI service providers (such as OpenAI) may be subject to their own retention policies. We work with these providers to ensure data is deleted in accordance with our agreements, but cannot guarantee immediate deletion from their systems.
Data Portability: You may export your personal data in an open format by using the "Export Data" feature in the Chronicle application under Settings.
Linking to Our Website
You may link to our website for informational purposes without prior approval, provided the link is not misleading, does not falsely imply sponsorship or endorsement, and does not harm our reputation. Use of our logo or trademarks for linking requires our written permission.
Limitation of Liability
Service Availability: Chronicle is provided on an "as is" and "as available" basis. We do not guarantee that the service will be uninterrupted, error-free, or completely secure. We are not liable for any service outages, technical difficulties, or temporary unavailability.
AI Service Limitations: While we strive for accuracy, AI transcription and analysis services may contain errors, omissions, or inaccuracies. We are not liable for any decisions, actions, or consequences based on AI-generated content including transcripts, summaries, or analysis. You should always review and verify AI-generated content before relying on it.
Data Loss: While we implement robust backup and security measures, we cannot guarantee against data loss due to technical failures, cyber attacks, or other unforeseen circumstances. We strongly recommend that you regularly export and backup your important journal memories.
Third-Party Services: Chronicle integrates with third-party services (including OpenAI for AI processing and app stores for payments). We are not liable for any issues, failures, or damages arising from these third-party services, including but not limited to processing delays, service outages, or data handling by these providers.
Maximum Liability: To the maximum extent permitted by law, our total liability to you for any claims arising out of or relating to these Terms or your use of Chronicle shall not exceed the amount you have paid us in the twelve (12) months preceding the claim. This limitation applies regardless of the legal theory on which the claim is based.
Excluded Damages: In no event shall Lightware Consulting, Lda be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, even if we have been advised of the possibility of such damages.
Personal Use Only: Chronicle is designed for personal journaling use only. We are not liable for any damages arising from commercial use, professional reliance on the service, or use of Chronicle for purposes other than personal journaling.
Disclaimer
To the maximum extent permitted by applicable law, we exclude all representations, warranties and conditions relating to our website and the use of this website. Nothing in this disclaimer will:
- limit or exclude our or your liability for death or personal injury;
- limit or exclude our or your liability for fraud or fraudulent misrepresentation;
- limit any of our or your liabilities in any way that is not permitted under applicable law; or
- exclude any of our or your liabilities that may not be excluded under applicable law.
The limitations and prohibitions of liability set in this Section and elsewhere in this disclaimer:
- (a) are subject to the preceding paragraph; and
- (b) govern all liabilities arising under the disclaimer, including liabilities arising in contract, in tort and for breach of statutory duty.
For Chronicle's paid subscription service, our liability is limited to the amount you have paid for the service in the twelve (12) months preceding the claim, except where prohibited by applicable law.
Payment Terms
Subscription Plans: Chronicle is a paid subscription service offering monthly and yearly subscription plans. All pricing is displayed in the application and may vary by region based on local currency and applicable taxes.
Free Trial: New users are entitled to a 7-day free trial period. During this trial, you have full access to all features of the service. If you do not cancel before the end of the trial period, your subscription will automatically begin and you will be charged.
Payment Processing: Payments are processed through Google Play Store for Android devices and Apple App Store for iOS devices. All transactions are subject to the respective platform's terms and conditions. We do not store or process payment information directly.
Auto-Renewal: Subscriptions automatically renew at the end of each billing period (monthly or yearly) unless cancelled before the renewal date. You will be charged the then-current subscription fee. You can manage your subscription and turn off auto-renewal through your Google Play or Apple App Store account settings.
Cancellation: You may cancel your subscription at any time through your Google Play or Apple App Store account settings. Cancellation will take effect at the end of your current billing period, and you will continue to have access to the service until that time.
Refund Policy: We offer a no-questions-asked 30-day refund policy from the date of purchase. To request a refund, contact us at support@chronicle.chatwithin 30 days of your purchase. Refunds for purchases made through Google Play or Apple App Store may also be requested directly through those platforms according to their respective refund policies.
Price Changes: We reserve the right to modify our subscription prices at any time. Any price changes will take effect at the start of your next billing cycle after we provide you with notice of such changes.
Data Processing & AI Services
Voice Recording Processing: When you record audio through the Chronicle application, the recording is initially stored locally on your device. The audio is then securely transmitted to our servers for processing and analysis. The application automatically selects the most appropriate audio format from supported formats to ensure optimal quality and compatibility.
AI Transcription: We use OpenAI's artificial intelligence services to convert your voice recordings into text transcripts. This process occurs on our secure servers after your audio data is transmitted from your device. The transcription service may process your audio data according to OpenAI's terms of service and privacy policies.
AI Analysis Features: Beyond transcription, we employ artificial intelligence to provide enhanced journaling features including:
- Sentiment analysis to understand the emotional tone of your memories
- Topic extraction and labeling to categorize and organize your content
- Summarization to provide concise overviews of your journal memories
- Content editing for clarity and improved readability
Third-Party AI Providers: We utilize OpenAI services for processing your audio and text data. Your data may be subject to OpenAI's terms of service and privacy policies when processed through their systems. We maintain appropriate data processing agreements with our AI service providers to protect your information.
Data Accuracy Disclaimer: While our AI services strive for accuracy, transcription and analysis results may contain errors or inaccuracies. AI-generated content, including transcripts, sentiment analysis, and summaries, should be reviewed and verified by you. We do not guarantee the accuracy, completeness, or reliability of AI-processed content.
Data Security: All audio recordings and processed data are encrypted during transmission and storage. We implement industry-standard security measures to protect your voice data and personal information throughout the processing pipeline.
Data Access: Access to your voice recordings is strictly limited to a very restricted group of authorized employees who require access for technical support, service improvement, or legal compliance purposes. No contractors or third parties have access to your audio recordings, with the sole exception of OpenAI services which process your audio for transcription and analysis as described above.
Privacy Policy
Your privacy is important to us. For detailed information about how we collect, use, store, and protect your personal information and voice recordings, please read our comprehensive Privacy Policy. The Privacy Policy is incorporated by reference into these Terms of Service.
Governing Law & Jurisdiction
These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of Portugal.
Any disputes arising out of or in connection with these Terms of Service, including any question regarding their existence, validity or termination, shall be subject to the exclusive jurisdiction of the Portuguese courts.
International Users: If you are not a resident of Portugal, you may be subject to the laws of your local jurisdiction regarding the use of Chronicle. In case of conflicts between local laws and these Terms, local laws shall prevail where legally required.
Dispute Resolution: Before initiating any formal legal proceedings, the parties agree to attempt to resolve any dispute through good faith negotiations. If such negotiations fail to resolve the dispute within thirty (30) days, either party may initiate formal proceedings.
Arbitration: For disputes involving amounts exceeding €5,000, the parties may agree to submit the dispute to binding arbitration under the rules of the Portuguese Arbitration Association (Associação Portuguesa de Arbitragem). The arbitration shall be conducted in Portuguese language and take place in Lisbon, Portugal. The decision of the arbitrator(s) shall be final and binding upon both parties.
Intellectual Property Rights
Lightware Consulting, Lda's Rights: The Chronicle service, including all software, designs, graphics, text, logos, images, and other content (excluding user-generated content), as well as the selection and arrangement thereof, are owned by Lightware Consulting, Lda or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws.
User Content: You retain ownership of all intellectual property rights in your voice recordings, transcripts, and journal memories that you create using Chronicle. By using our service, you grant Lightware Consulting, Lda a limited, non-exclusive, royalty-free license to process, store, and transmit your content solely for the purpose of providing the Chronicle service to you.
Feedback: If you provide feedback, suggestions, or ideas about Chronicle to us, you grant us the right to use such feedback without restriction and without payment to you.
Trademark Notice: "Chronicle" and related marks are trademarks of Lightware Consulting, Lda. You may not use our trademarks without our prior written consent.
DMCA Compliance: If you believe that content on Chronicle infringes your copyright, please contact us at support@chronicle.chatwith a detailed notice including: (a) identification of the copyrighted work, (b) identification of the allegedly infringing material, (c) your contact information, (d) a statement of good faith belief that use is unauthorized, and (e) a statement that the information is accurate and you are authorized to act on behalf of the copyright owner.
Force Majeure
Lightware Consulting, Lda shall not be liable for any failure or delay in performance of our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to:
- Acts of God, natural disasters, epidemics, or pandemics
- War, terrorism, civil unrest, or government actions
- Internet or telecommunications failures not caused by Chronicle
- Third-party service provider outages (including cloud infrastructure or AI services)
- Labor disputes or strikes not involving Chronicle employees
- Cyber attacks, security breaches, or system failures beyond our control
In the event of a force majeure situation, Lightware Consulting, Lda will use reasonable efforts to minimize the impact on the service and will provide notice to users when practicable. If the force majeure event continues for more than 30 consecutive days, either party may terminate the service agreement without penalty.
During force majeure events, subscription billing may be paused at Lightware Consulting, Lda's discretion, and users may be entitled to service credits or refunds proportional to the service interruption.
